Wholesale Terms & Conditions
These Wholesale Terms & Conditions ("Terms") govern all wholesale sales by Strake LLC, a Michigan limited liability company ("Strake Studio," "Seller"), to approved wholesale customers ("Buyer"), including interior design showrooms, home décor stores, galleries, retailers, and commercial design firms. By accessing or using the Strake Studio website, Buyer agrees to these Terms. Fulfillment of Buyer's order does not constitute acceptance of any of Buyer's terms and conditions and does not serve to modify or amend these Terms.
1. Payment Terms
A valid credit card is required for order placement. Charges will be processed when a submitted order request is accepted by Strake Studio. Orders may be placed through the Strake Studio Wholesale online store. Orders are subject to acceptance and inventory availability. Submission & receipt of an order does not constitute acceptance until confirmed by Strake Studio.
2. Product Availability
Strake Studio maintains inventory of finished products for wholesale sale. Inventory levels displayed on the wholesale website are periodically updated but are not guaranteed until an order has been accepted. If an item becomes unavailable after an order is placed, Strake Studio may:
- Cancel the unavailable item,
- Issue a refund for the unavailable item,
- Offer a comparable substitute with Buyer's approval, or
- Ship available items separately.
3. Pricing
Wholesale pricing is confidential and available only to approved wholesale accounts. Accepted orders will be invoiced at the pricing confirmed at the time of order submission. Manufacturer's Suggested Retail Price (MSRP) is provided for reference.
4. Shipping
Orders are shipped from Sterling Heights, Michigan. Local orders may potentially be delivered by Strake Studio. Strake Studio reserves the right to ship local orders for any reason that a local delivery may become unavailable. Shipping charges are calculated separately unless otherwise noted. Estimated shipping dates are provided as a convenience and are not guaranteed.
Buyer shall inspect all shipments immediately upon receipt. Visible shipping damage must be noted with the carrier at delivery. Claims for concealed damage must be reported within five (5) business days. Photographs of the packaging and damaged merchandise are required.
5. Returns
I will work with you on returns but this is not Amazon or Costco.
All sales are considered final. Returns may be requested within seven (7) days of delivery for standard inventory products. Strake Studio may accept or reject any return request. Shipping charges are non-refundable. Products damaged by misuse, improper installation, or modification are not eligible for return.
6. Product Variations
Each Strake Studio fixture is handcrafted using natural wood. Variations in wood grain, color, gloss, figure, knots, natural character, dimensions, joinery, & glue are inherent characteristics of wood products and are not considered manufacturing defects. Images shown on the website represent the product design only.
7. Limitation of Liability
Strake Studio's maximum liability shall not exceed the purchase price of the affected product. Strake Studio shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.
8. Governing Law
These Terms are governed by the laws of the State of Michigan. Any dispute arising from these Terms shall be resolved exclusively in the jurisdiction and venue of the Courts of Macomb County, Michigan.
